We would like to take this opportunity to introduce you to Fincastle Country Club. Fincastle offers all of the excellence of a traditional country club, maintaining formality when desired, but also offering a more relaxed, casual atmosphere for those with more informal tastes. Our well-known 18-hole Dick Wilson design golf course offers a wide variety of opportunities for all players, regardless of skill level. We are implementing new golf formats in order for everyone to be involved in play and will be conducting golf scrambles for all ages and abilities. Our new executive chef is causing enthusiasm among our members and is anxious to serve you. Other amenities include our Olympic size swimming pool and four professional tennis courts along with an inviting atmosphere for you and your family to enjoy.	From now until 06/01/08, during our membership drive, all initiation fees for new members and former members will be waived. In order to qualify for this, new members will be asked to remain a member for one year from the date of membership and sign a promissory note. This three month membership drive guarantees the dues rates, free from increases and assessments, for one year. FINCASTLE COUNTRY CLUB MEMBERSHIP CLASSIFICATIONS March 1, 2008 by Board Approval Full Family Resident: is entitled to the use and enjoyment of all Club facilities and privileges, including clubhouse, pool, golf, and tennis. This category is for members and their immediate family, who reside with them or immediate family who are attending school or college. Children must be 25 years of age and under. Full Single Resident: is entitled to the use and enjoyment of all Club facilities and privileges, including clubhouse, pool, golf, and tennis. This category is for unmarried members who do not have dependent children. Junior Associate Family: is entitled to the use and enjoyment of all Club facilities and privileges for persons who have not reached the age of 36. This category is for members and their immediate family, who reside with them, or immediate family who are attending school or college. Children must be 25 years of age and under. All members in the Class must be under age 36 to qualify. Junior Associate Single: is entitled to the use and enjoyment of all Club facilities and privileges for persons who have not reached the age of 36. This category is for unmarried members who do not have dependent children. Corporate: is entitled to the use and enjoyment of all Club facilities and privileges, including clubhouse, pool, tennis, and golf. Corporate sponsors must maintain a minimum of two memberships. The initiation fee for corporate memberships will be the current initiation times the numbers of new memberships. A corporation may replace one employee with another with notification to the Board in writing. All previous bills must first be paid, for the employee being replaced, in full by either the employee or corporation. Social Plus: is entitled to the use and enjoyment of all Club facilities and privileges including clubhouse, pool, and tennis facilities. Golf course privileges are limited to four times per year by paying all fee required for the stipulated round with 50% discount on green fees. This class of member may have guests for those four rounds, if the guests are eligible in accordance with the Club rules limiting in town guests to four times per year. Guest privileges must be in accordance with the standard Club rules. This category is for members and their immediate family, who reside with them, or immediate family, 25 an under, who are attending school or college. Social - 90: is entitled to the use and enjoyment of Clubhouse facilities only. Non-Resident: is entitled to the use and enjoyment of all Club facilities, activities, and privileges, including clubhouse, pool, golf, and tennis. This category is for members and their immediate family, who reside with them or immediate family who are attending school or college. Members using this category must be domiciled outside a 100 air mile radius of the Club at least 182 days per year, file income tax from that address, and receive mail at that address at least 182 days per year. Owners of residential property in Tazewell, Mercer, or Bland counties will not be eligible for this membership. Individual and Family Non Resident Golfer(s): is (are) entitled to the use and enjoyment golf and clubhouse facilities only. These members must be a resident(s) of Buchanan, Russell, Smyth, Wythe, Pulaski, Giles counties in Virginia or McDowell, Wyoming, Raleigh, Summers counties of West Virginia which are the adjoining counties to Tazewell, Mercer, and Bland. These Members will not be eligible, for this membership, if they own residential property in Tazewell, Mercer, or Bland counties. Individual Social Non Resident: is entitled to the use and enjoyment of the Club facilities, activities, and privileges, including clubhouse, pool, and tennis facilities. This member is entitled to all activities and privilege for 30 consecutive or non-consecutive days. This member may not own property in the counties of Tazewell, Mercer, or Bland and must be domiciled outside the 100 mile radius of the club. Golf course privileges are limited to eight times per year by paying all required fees for the stipulated round. This class of member may have guests for those rounds, if the guests are eligible and in accordance with the club rules limiting in town guests (within 35 mile radius) to four (4) times per year use. Additional (7) day membership periods can be purchased at 25% of the applicable annual dues rate for this category of member; and shall include clubhouse, tennis, and pool facilities. Two additional rounds of golf may be played, for each additional period purchased, by paying all required fees for that round.

** Club Minimum is recoupable annually (1/1/xx -12/31/xx) meaning credit will be issued for the minimum payment if not used. Credits will be applied to expenses applicable to the Club Minimum charge when they are used.

Discounts are applicable for each 10 shares of Fincastle Country Club stock of at .75 per share for Full Resident Memberships and Corporate Memberships. The maximum discount available per member is $37.50 per month (50 shares).

Discounts are applicable for each 10 shares of Fincastle Country Club stock of .50 per share for all other membership classes except Single Social Non Resident and Single and Family Non Resident Golfer(s). The maximum discount available per member is $25.00 per month (50 shares).

If the Board deems that an assessment will be levied; that assessment will be prorated, by Category, at the same percentage change as applicable to the Full Family Resident dues.

All provisions of Article VII of the Fincastle Country Club By Laws are in full force.

February 19, 2008 - The Board approved a membership drive beginning March 1, 2008 waiving all Initiation Fees for new members and all Initiation fees and/or back dues (Article VII) for former members who resigned before February 19, 2008.
